Agent Programme Terms
On this page
These terms are between Akhilesh Nigam, who manages the Libolink digital platform ("Libolink"), and the person or business accepted as an agent ("Agent").
1. Relationship
- The Agent is an independent contractor, not an employee, partner or legal representative of Libolink.
- The arrangement is non-exclusive. The Agent cannot sign contracts, collect money, or change prices or terms on Libolink's behalf.
2. Bringing in libraries
- A library counts as the Agent's in either of these cases:
- it registers with the Agent's referral link or code, or with an invite the Agent sends from the agent portal;
- Libolink assigns it to the Agent.
- If two agents claim the same library, Libolink's records decide.
- When sending an invite, the Agent may enter only details the owner has agreed to share, and must invite only owners who want to be contacted. The owner sets their own password and accepts Libolink's terms themselves; the Agent must never ask for an owner's password.
- Libolink sets a daily invite limit for each agent and may change it.
3. Commission
- For each annual plan bought by a library the Agent brought in, the commission is one month's value of that plan: the annual amount ÷ 12 × the commission months shown in the Agent's portal. This applies to every annual payment the library makes, including renewals, while the library stays linked to the Agent.
- Subscriptions shorter than 12 months (3 or 6 months) earn no commission unless Libolink agrees otherwise in writing.
- A commission becomes payable only after Libolink has received and verified the library's payment. Libolink may reduce or reverse a commission if the payment is refunded, charged back or found to be fraudulent.
- Libolink pays approved commissions by UPI or bank transfer on its payout dates, normally once a month. Each payout is listed in the Agent's portal.
4. Taxes
- The Agent provides a valid PAN and, if registered, a GSTIN.
- Libolink deducts tax at source where the income-tax law requires it. The Agent is responsible for their own income tax and GST.
5. Conduct
- Describe Libolink honestly. Make no promises about prices, discounts, features or results that are not published or approved by Libolink. Do not post fake reviews.
- Follow the Acceptable Use Policy and Indian law on calls, SMS and WhatsApp messages, including do-not-disturb rules and consent for promotional messages.
- Keep confidential any library or student information you see, and use it only for the programme.
6. Ending the arrangement
- Either side may end the arrangement with 15 days' written notice. Libolink may end it immediately for misconduct or a breach of these terms.
- Approved commissions earned before the end date are paid on the next payout date, unless they are reversed under section 3.
7. Liability and law
- Libolink's total liability to the Agent is limited to the unpaid approved commissions.
- These terms are governed by Indian law. The courts at Gorakhpur, Uttar Pradesh have exclusive jurisdiction.
8. Acceptance
- The Agent accepts these terms by ticking "I agree" in the agent portal before using it. Libolink records the date, time and version accepted. If these terms change, the Agent is asked to accept the new version.
